1. Acceptance of Terms

By accessing or using CodMinds ("we," "us," or "our") website, products, or custom development services, you agree to be legally bound by these Terms & Conditions and our Privacy Policy. If you do not agree to all terms, you may not access or use our platforms and services.

2. Services & Project Deliverables

CodMinds provides custom web development, mobile applications, cloud backend solutions, and software architecture services:

• Estimates Disclaimer: Calculations generated by our Interactive Cost Estimator serve as non-binding preliminary budget guidance. Official project commitments require an executed Statement of Work (SOW) or Master Services Agreement (MSA).
• Scope Changes: Any modifications to agreed project specifications during active engineering sprints will be managed via formal change request orders.
• Client Responsibilities: Clients are responsible for providing necessary assets, API access credentials, and timely feedback required to meet agreed delivery timelines.

3. Intellectual Property & Code Ownership

Unless otherwise specified in an executed Master Services Agreement, upon final payment, all custom source code, repository commits, and custom design assets created specifically for the client are assigned to the client. CodMinds retains ownership of its pre-existing proprietary frameworks, baseline libraries, developer tools, and site branding.

4. Invoicing & Payment Terms

Invoices are payable according to the schedule specified in the applicable Statement of Work (e.g. milestone-based or bi-weekly sprint invoicing). Late payments may be subject to interest charges of 1.5% per month or the maximum rate permitted by law. Third-party hosting, API fees, and store publishing fees are the responsibility of the client.

5. Limitation of Liability

To the maximum extent permitted by applicable law, CodMinds shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data corruption, or business interruption arising out of or in connection with our website or services. Our total aggregate liability under any claim shall not exceed the total fees paid by the client to CodMinds for the specific deliverable giving rise to the claim.

6. Confidentiality & Mutual NDA

Both parties agree to protect and keep confidential all non-public technical data, source code, business strategies, and proprietary information disclosed during client discussions and project execution.

7. Modifications & Governing Law

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated revision date. These terms are governed by and construed in accordance with applicable laws without regard to conflict of law principles.
